Article 5 - Electric Power Associations
§ 77-5-207. Contents of certificate of incorporation

The certificate of incorporation shall state:
The name of the corporation, which name shall include the words "electric power association" or "electric cooperative" and shall be such as to distinguish it from any other corporation organized and existing under the laws of this state.
The location of its principal office and the post-office address thereof.
The maximum number of directors, not less than three (3).
The names and post-office addresses of the directors who are to manage the affairs of the corporation for the first year of its existence, or until their successors are chosen.
The period of the duration of the corporation, which may be perpetual.
The terms and conditions upon which persons shall be admitted to membership in the corporation.
The certificate of incorporation may also contain any provisions not contrary to law which the incorporators may choose to insert for the regulation of its business and for the conduct of the affairs of the corporation. It may also contain any provisions creating, defining, limiting or regulating the powers of the corporation, its directors and members.
